1. Acceptance of Terms
By accessing or using stay-frame (the “Service”), you agree to be bound by these Terms of Service (“Terms”). If you do not agree to these Terms, you may not use the Service. These Terms form a legally binding agreement between you and stay-frame, LLC. (“stay-frame,” “we,” “our,” or “us”).
If you are using the Service on behalf of an organization, you represent that you have authority to bind that organization to these Terms.
2. The Service
stay-frame provides a home maintenance tracking platform that allows users to organize appliance information, set maintenance reminders, log service history, and access general home maintenance guidance. The Service is intended for personal, non-commercial use by homeowners and renters.
We reserve the right to modify, suspend, or discontinue any aspect of the Service at any time, with or without notice.
3. No Professional Advice
Important: stay-frame is an organizational and informational tool only. Nothing in the Service constitutes professional, licensed, or expert advice of any kind.
Content provided through the Service — including maintenance schedules, task guidance, cost estimates, and product information — is for general informational purposes only. It does not constitute professional advice in the fields of construction, structural engineering, electrical systems, plumbing, HVAC, fire safety, or any other licensed trade or profession.
You are solely responsible for:

Verifying the accuracy and appropriateness of any information before acting on it

Consulting licensed professionals for work that requires permits, inspections, or professional certification

Determining whether any maintenance task is safe and suitable for your specific home and circumstances
stay-frame expressly disclaims any liability for property damage, personal injury, or financial loss arising from reliance on content provided through the Service.
4. User Accounts
To access certain features, you must create an account. You agree to:

Provide accurate, current, and complete information during registration

Maintain the confidentiality of your login credentials

Accept responsibility for all activity that occurs under your account

You must be at least 18 years of age to create an account. We reserve the right to suspend or terminate accounts that violate these Terms, provide false information, or engage in harmful or abusive behavior.
5. User Content
You retain ownership of all content you submit to the Service, including home data, notes, customer specific photos, receipts, and other materials (“User Content”).
By submitting User Content, you grant stay-frame a limited, non-exclusive, royalty-free, worldwide license to host, store, display, and process your User Content solely as necessary to operate and improve the Service. We do not sell your User Content to third parties unless otherwise specifically authorized by you.
You represent and warrant that your User Content does not infringe the rights of any third party and does not violate any applicable law.
6. Acceptable Use
You agree not to use the Service to:

Violate any applicable law or regulation

Upload malicious code, viruses, or any software intended to disrupt the Service

Attempt to gain unauthorized access to any part of the Service or its infrastructure

Scrape, copy, reverse engineer, duplicate, or redistribute Service content without written permission

Use the Service for any commercial purpose not expressly authorized by us

Impersonate any person or entity, or misrepresent your affiliation with any person or entity
Violation of these restrictions may result in immediate termination of your account.
7. Subscriptions & Payments
stay-frame may offer both a free tier and paid subscription plans. Paid subscriptions are subject to the following terms:

Billing: Subscriptions are billed on a recurring basis (monthly or annually) through the app store or payment provider selected at sign-up.

Auto-renewal: Subscriptions renew automatically at the end of each billing period unless canceled before the renewal date.

Cancellation: You may cancel at any time through your account settings or the applicable app store. Cancellation takes effect at the end of the current billing period.

Refunds: Payments are non-refundable except where required by applicable law. App store purchases are subject to Apple App Store or Google Play refund policies.

Price changes: We will provide at least 30 days’ notice before changing subscription pricing. Continued use after the effective date constitutes acceptance.

Data on cancellation: Your data may be retained for up to 30 days after cancellation before deletion, except where retention is required by law.
8. Intellectual Property
The Service and all its original content — including text, graphics, logos, software, maintenance guidance, templates, and user interface design — are owned by stay-frame or its licensors and are protected by applicable intellectual property laws.
These Terms do not transfer any stay-frame intellectual property to you. You may not reproduce, distribute, modify, create derivative works from, or commercially exploit any part of the Service without our prior written consent.
9. Third-Party Services & Links
The Service may display links to or integrations with third-party websites, products, services, or service providers. stay-frame does not endorse and is not responsible for the content, privacy practices, or performance of any third-party service.
Your use of third-party services is governed solely by their respective terms and policies. We encourage you to review those terms before engaging with any third-party provider.
10. Disclaimer of Warranties
THE SERVICE IS PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMITTED BY LAW, STAY-FRAME DISCLAIMS ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
We do not warrant that the Service will be uninterrupted, error-free, or free of harmful components, or that any information provided through the Service is accurate, complete, current, or suitable for any particular purpose.
11. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, STAY-FRAME AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO:

Property damage resulting from maintenance actions taken based on Service content

Personal injury arising from reliance on Service content

Actions or inactions of service providers or contractors identified through the Service

Loss of data, loss of revenue, or loss of profits

Service interruptions or unavailability
Our total cumulative liability to you for any claims arising out of or related to these Terms or the Service shall not exceed the greater of (a) the total amount you paid to stay-frame in the twelve months preceding the claim, or (b) fifty dollars (USD $50.00).
Some jurisdictions do not allow the exclusion or limitation of certain damages, so the above limitations may not apply to you in full.
12. Dispute Resolution & Arbitration
Informal resolution first. Before initiating any formal dispute, you agree to contact us at hello@stay-frame.com and give us 30 days to attempt to resolve the matter informally.
Binding arbitration. If informal resolution fails, any dispute arising out of or relating to these Terms or the Service shall be resolved by binding individual arbitration administered by JAMS under its applicable rules, rather than in court. The arbitration will be conducted in San Mateo, California, or remotely if both parties agree.
Class action waiver. YOU AND STAY-FRAME AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN AN INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS OR REPRESENTATIVE PROCEEDING.
Small claims exception. Either party may bring an individual claim in small claims court in lieu of arbitration, provided the claim qualifies under that court’s jurisdictional rules.
Opt-out. You may opt out of the arbitration agreement by sending written notice to hello@stay-frame.com within 30 days of first accepting these Terms. Opting out does not affect any other provision of these Terms.
13. Termination
You may stop using the Service and close your account at any time by contacting us at hello@stay-frame.com or through your account settings.
We may suspend or terminate your access to the Service at any time, with or without notice, for any reason, including violation of these Terms. Upon termination, your right to use the Service ceases immediately.
Provisions of these Terms that by their nature should survive termination — including disclaimers, limitations of liability, intellectual property rights, and dispute resolution — will survive.
14. Changes to These Terms
We may update these Terms from time to time. When we make material changes, we will update the “Last Updated” date at the top of this page and, where practicable, notify you via email or an in-app notice at least 14 days before the changes take effect.
Your continued use of the Service after the effective date of updated Terms constitutes your acceptance of the changes. If you do not agree to the updated Terms, you must stop using the Service.
15. Governing Law
These Terms are governed by and construed in accordance with the laws of the State of California, without regard to its conflict of law provisions. To the extent any dispute is not subject to arbitration under Section 12, you consent to the exclusive jurisdiction of the state and federal courts located in San Mateo County, California.
